The article outlines key features of the two types companies that exist in Polish law — a limited liability company (spółka z organiczoną odpowiedzialnością, społka o. o.) and joint-stock akcyjna, S.A.). However, work does not consider matters simple (prosta spółka P.S.A.) also endowed with legal personality. Due to its specificity, deserves completely separate complex analysis. both are presented comparative form show main differences similarities between two. In particular, authors discuss incorporation procedure, issues related deed incorporation, requirements regarding share capital, rights duties shareholders. presents governing bodies particular abovementioned matters, such as pre-emptive right, certificates many more. mainly due fact former exhibits partnership, meanwhile fully embodies essence capital company. There similarities. For instance, cannot be formed solely by single-member opinion article, approach taken subject matter should interest useful for reader. It help select most favorable business model under law. provides an analysis current situation well newest amendments (related companies).
